Block Transfer or Agency Roll Over

I am trying to get information about the advantages and disadvantages or doing a roll over of my agency or a block transfer. I do have a non-compete clause but it is contingent on me taking pay for the agency when I sell it back to the captive company.

Has anyone done this or heard about how it went for someone else?
